ESSONIFY END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and Essonify Group, Inc., a Delaware corporation ("Essonify," "Company," "we," "our," or "us"), governing your installation, access, and use of the Essonify mobile application, software, updates, content, and related services (collectively, the "Application").
By downloading, installing, accessing, or using the Application, you agree to be bound by this EULA. If you do not agree to this EULA, do not download, install, access, or use the Application.

2. LICENSE GRANT
Subject to your compliance with this EULA, Essonify grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Application on any Apple-branded Products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, and as permitted by any other applicable application marketplace..
3. LICENSE RESTRICTIONS
You shall not, and shall not permit any third party to:
Copy, reproduce, distribute, or publicly display the Application except as expressly authorized.
Modify, adapt, translate, or create derivative works of the Application.
Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code from the Application.
Circumvent or disable security measures or access controls.
Rent, lease, lend, sublicense, sell, assign, transfer, or otherwise commercially exploit the Application.
Use the Application to violate applicable laws or regulations.
Use automated tools, bots, scrapers, or data extraction technologies without Essonify's written consent.
Interfere with the operation, security, or integrity of the Application.
Any unauthorized use immediately terminates the license granted under this EULA.
4. OWNERSHIP
The Application is licensed, not sold.
Essonify and its licensors retain all right, title, and interest in and to:
The Application;
Software code;
Algorithms;
User interfaces;
Designs;
Trademarks;
Logos;
Branding;
Style Signature methodologies;
Decision frameworks;
Artificial intelligence systems;
Digital Style Passport concepts;
Documentation;
Content;
Data structures; and
All related intellectual property rights.
Nothing contained in this EULA transfers ownership of any intellectual property to you.
5. SOFTWARE UPDATES
Essonify may provide updates, upgrades, patches, bug fixes, enhancements, new features, or modifications to the Application.
You agree that Essonify may automatically install updates without additional notice or consent where permitted by applicable law.
Essonify is under no obligation to provide updates or maintain backward compatibility with prior versions.
6. FUTURE FEATURES
The Application may evolve over time.
Essonify reserves the right, in its sole discretion, to:
Add features;
Remove features;
Restrict functionality;
Modify workflows;
Change user experiences;
Introduce subscription services;
Introduce marketplace functionality;
Introduce stylist services;
Introduce enterprise offerings;
Introduce partner integrations;
Introduce credit programs;
Modify credit programs; and
Discontinue features entirely.
Nothing in this EULA obligates Essonify to maintain any feature indefinitely.
7. USER CONTENT
The Application may allow users to upload, create, submit, store, transmit, or display content.
You retain ownership of content you lawfully own.
You grant Essonify a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, modify, adapt, analyze, process, and use such content for purposes related to operating, maintaining, improving, securing, promoting, and providing the Application.
You represent and warrant that:
You own or control the necessary rights to your content;
Your content does not infringe third-party rights;
Your content does not violate applicable law; and
Your content complies with Essonify policies.
8. ARTIFICIAL INTELLIGENCE FEATURES
The Application may utilize artificial intelligence, machine learning, recommendation engines, image generation systems, styling systems, predictive systems, and related technologies.
Artificial intelligence outputs are probabilistic in nature.
Generated content may:
Be inaccurate;
Be incomplete;
Be unavailable;
Be misleading;
Be offensive;
Contain errors; or
Be unsuitable for a specific purpose.
Essonify does not guarantee the accuracy, reliability, suitability, availability, completeness, or usefulness of AI-generated outputs.
Users assume all risk associated with reliance upon AI-generated outputs.
9. THIRD-PARTY SERVICES
The Application may integrate with or provide access to:
Retailers;
Merchants;
Payment processors;
Advertising partners;
Affiliate partners;
Social platforms;
Calendar providers;
Technology vendors; and
Other third-party services.
Essonify does not control and is not responsible for third-party services.
Your use of third-party services is governed by their respective terms and policies.
10. APP STORE REQUIREMENTS
If you obtained the Application through the Apple App Store:
This EULA is between you and Essonify, not Apple.
Apple has no obligation to provide maintenance or support services.
Apple is not responsible for claims relating to the Application.
Apple and its subsidiaries are third-party beneficiaries of this EULA.
If you obtained the Application through Google Play:
This EULA is between you and Essonify, not Google.
Google has no responsibility for maintenance or support of the Application.
Google is not responsible for claims relating to the Application.
11. TERMINATION
This EULA remains effective until terminated.
Essonify may suspend, restrict, or terminate your license and access to the Application at any time, with or without notice, if:
You violate this EULA;
You violate applicable law;
Essonify believes termination is necessary to protect users, partners, systems, or operations; or
Essonify discontinues the Application.
Upon termination:
All license rights immediately cease;
You must discontinue use of the Application; and
You must remove the Application from your devices.
12. DISCLAIMER OF WARRANTIES
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESSONIFY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
TITLE;
ACCURACY;
RELIABILITY; AND
AVAILABILITY.
ESSONIFY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Essonify's sole responsibility.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESSONIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES.
IN NO EVENT SHALL ESSONIFY'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF:
(A) THE AMOUNT PAID BY YOU TO ESSONIFY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS ($100).
14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Essonify and its officers, directors, employees, contractors, affiliates, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, and attorneys' fees arising from:
Your use of the Application;
Your content;
Your violation of this EULA; or
Your violation of applicable law.
15. EXPORT COMPLIANCE
You agree not to use, export, re-export, transfer, or distribute the Application in violation of applicable export control laws, sanctions laws, or regulations.
16. GOVERNMENT USERS
The Application is commercial computer software developed exclusively at private expense.
Any use by governmental entities shall be subject to this EULA and applicable commercial software regulations.
17. ARBITRATION AND CLASS ACTION WAIVER
Any dispute arising out of or relating to this EULA shall be resolved exclusively through binding arbitration.
You waive any right to participate in:
Class actions;
Class arbitrations;
Representative actions; or
Collective proceedings.
Arbitration shall occur on an individual basis only.
18. GOVERNING LAW
This EULA shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
19. SEVERABILITY
If any provision of this EULA is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
20. WAIVER
Failure by Essonify to enforce any provision shall not constitute a waiver of that provision or any other provision.
21. ASSIGNMENT
Essonify may assign or transfer this EULA without restriction.
You may not assign or transfer your rights or obligations under this EULA without Essonify's prior written consent.
22. FORCE MAJEURE
Essonify shall not be liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters, governmental actions, labor disputes, internet failures, cyber incidents, utility failures, pandemics, or acts of war.
23. MODIFICATIONS
Essonify reserves the right to modify, amend, supplement, replace, suspend, or discontinue this EULA at any time.
Updated versions become effective upon posting or other notice provided by Essonify.
Continued use of the Application constitutes acceptance of the revised EULA.
24. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between you and Essonify concerning the Application and supersedes all prior or contemporaneous understandings regarding the Application.
ESSONIFY SUBSCRIPTION & BILLING TERMS

Overview
These Subscription and Billing Terms govern paid subscriptions, recurring memberships, promotions, digital purchases, and related billing matters.
Subscription Plans
Essonify may offer free and paid subscription plans including Basic, Basic+, Plus, and Pro. Features, benefits, and limits may vary by plan.
Billing Authorization
By purchasing a subscription, you authorize the applicable app marketplace to charge your selected payment method.
Automatic Renewal
Subscriptions automatically renew unless cancelled before the renewal date.
App Store Purchases
Purchases through Apple App Store and Google Play are governed by their respective billing and refund procedures.
Pricing Changes
Essonify reserves the right to modify pricing, plan structures, benefits, eligibility requirements, limits, and availability.
Promotions and Trials
Essonify may offer free trials, referral programs, discounts, promotional pricing, bonus credits, and incentives.
Cancellation
Users may cancel through the applicable app store settings. Cancellation prevents future renewal but does not automatically create refund rights.
Future Services
Subscriptions may include access to future AI features, stylist services, marketplace functionality, partner services, community tools, and premium experiences.
Limitation of Liability
Essonify shall not be liable for billing interruptions, marketplace outages, processor failures, or payment provider actions beyond its reasonable control.
Modification Rights
Essonify may modify these Terms at any time.

ESSONIFY CREDITS POLICY

Overview
Essonify Credits are digital units that may be used for eligible features and services within the platform.
Credit Packs
Current packs include 100 Credits ($1.99), 200 Credits ($4.99), 450 Credits ($9.99), and 1,000 Credits ($19.99).
Nature of Credits
Credits are a limited, revocable license right. Credits are not currency, property, securities, deposits, or stored value.
Permitted Uses
Credits may be used for AI experiences, image generation, try-on functionality, stylist services, consultations, marketplace transactions, premium experiences, and partner offerings where designated.
No Cash Value
Credits have no cash value and may not be redeemed for cash.
Transfers
Credits may not be transferred, sold, gifted, assigned, exchanged, or resold unless expressly authorized by Essonify.
Expiration
Credits do not expire while an account remains active and in good standing.
Forfeiture
Unused credits are forfeited upon account deletion, closure, termination, or permanent suspension.
Fraud and Abuse
Credits obtained through fraud, manipulation, abuse, exploitation, or unauthorized activity may be revoked.
Program Modifications
Essonify may modify pricing, quantities, redemption requirements, feature costs, and program structure at any time.
Future Programs
Essonify may create loyalty programs, rewards systems, partner redemption opportunities, marketplace redemption programs, and additional credit offerings.
